General Terms and Conditions

These General Terms and Conditions (hereinafter “GTC”) shall apply to the use of our webshop (hereinafter “Webshop”) available at https://hu.sunrider.com (hereinafter “Website”) and to shopping on it.

These GTC shall also apply if you order from us by telephone or email.

Please read carefully these GTC for the use of the Webshop, which include, among other things, how you can place or modify your order, cancel the contract, etc.

Other information necessary for the use of our Website or the Webshop, which is not included in these GTC, is contained in further notices available on our homepage.

By using the Webshop, you accept and agree to be bound by the provisions of these GTC.

1.1 Our customer service is available by phone (Mon-Thu 9-17, Fri 9-16), email or post.

1.2 If we need to contact you, we will do so by phone, email or in writing to the contact address you provide.

1.3 Sunrider excludes the simultaneous application of the customer’s general terms and conditions.

1.4 For the purposes of these GTC, a consumer is a natural person who qualifies as a consumer under Act V of 2013 on the Civil Code of Hungary. Currently, a consumer is defined as a natural person acting outside his or her profession, self-employment or business. Please note that companies, for example, are not considered consumers and will therefore not be subject to certain provisions of the GTC (e.g. additional rights for consumers, cancellation/termination).

2. Use of the Webshop

2.1 You can buy our products online in the Webshop and place your order electronically using the Internet. However, you can also order the products in the Webshop from us by phone or email.

2.2 The language of the contract can be either Hungarian or English. The language selected for the order transaction will be the language used for the ordering process.

2.3 The Webshop can be used by both registered and non-registered customers. You can register on the Website by clicking on the ‘Register’ icon.

2.4 When registering, you must provide the information marked with an asterisk (*) as mandatory, which is essential for the shopping and delivery process. Please note that you must provide true and accurate information, otherwise there may be obstacles in fulfilling your order. Sunrider is not liable for any damages resulting from the provision of incorrect information.

2.5 In any case, please keep your password that you enter during the registration process confidential, as Sunrider will not be liable if the customer fails to take due care with their password and it becomes accessible to unauthorised persons. If you have forgotten the password that you entered during the registration process, you can request a new one by clicking on “Forgot Login ID or Password?”.

2.6 Information about our products can be found in the Webshop or on the Website. We always strive to ensure that the information on our Website is complete and accurate, but technical, data recording, translation or printing errors may occur. Any such errors in an offer will not bind Sunrider. This is particularly the case if the colour of the product to be delivered differs from the colour shown in the image. The images of the products on our website are for illustrative purposes only and we cannot guarantee that the colours displayed by any technical device will accurately reflect the colours of the products. The product(s) may differ slightly from that shown in the image. The packaging of the product(s) may differ from that shown in the images on our Website.

2.7 Despite Sunrider’s best efforts, there may be cases where (for technical or other reasons) a price (zero or unrealistically low price) is displayed that is clearly incorrect to a reasonably informed customer, except when the product is offered by Sunrider as part of a promotion or is a gift, in which case that fact will always be indicated next to products with such a shopping price. In this case, Sunrider is not obligated to sell the product to you at such incorrect price, but has the right to charge you the actual price for the product. If you do not wish to shop the product at this actual price, you have the right to cancel your order. If you have already paid the purchase price, we will refund it and (if applicable) we may require you to return any products that have already been delivered to you.

2.8 If the product ordered is no longer available and Sunrider is unable to procure it, Sunrider will notify the customer of this fact without delay and refund any prepaid amount promptly, but in no event later than 14 days after such notice.

2.9 We reserve the right to change, supplement or delete information on our Website at any time without prior notice. Sunrider reserves the right to change the ingredients or other characteristics of the products, so if in doubt, please always ask for information about the current properties of the product before placing an order.

2.10 Sunrider owns (or has the right to lawfully use) all intellectual property rights in the Website and the Webshop, including, but not limited to, the images, trademarks, brand names and product descriptions displayed therein. You may not use or disclose, in whole or in part, the content of the Website or the Webshop in any way or for any purpose, except as permitted by law or with the express written permission of Sunrider. In such case, the use will be governed by Sunrider’s permission or the agreement of the parties.

3. The ordering process

3.1 Placing an order

3.1.1 From the drop-down menu on the Website, you will need to select the country where you would like us to deliver the product you wish to order. Please note that we can only deliver to an address in the country of your choice. See Chapter 4 for a list of countries to which Sunrider delivers from the Webshop.

3.1.2 You will then be able to choose the language for the order transaction, which can be either English or Hungarian. This language will be the language used for the ordering process.

3.1.3 If you are not a registered customer with us, you will be asked to provide the following information during the shopping process: name, billing address, delivery address, email address.

3.1.4 If you have previously registered with our Webshop, you will need to be logged in to shop.

3.1.5 You select the product(s) you wish to buy from the “Shopping” menu and click on the “Add to Cart” icon to add them to your (virtual) cart, specifying the exact number of items. If you wish to buy additional products, select “Continue Shopping”.

3.1.6 By clicking on the “Cart” button, the products that you wish to shop will be displayed. Here you can change your order, order more or less or cancel items.

3.1.7 When you have finished shopping, check the products and the number of items you wish to buy. Click on the “X” icon to delete the contents of your cart, which will then be automatically refreshed. You can view the contents of your cart by clicking on the “View Cart” icon.

3.1.8 You can then select your preferred delivery method and billing address by clicking on the “Continue” button. Here you can choose from the available delivery methods. See Chapter 4 below for information on delivery costs. In the event of delivery, if you do not specify a different address, the default address will be the one you entered when registering.

3.1.9 You can then proceed with your order by clicking on the “Continue” button. Here you can choose from the available payment methods. See Chapter 4 for detailed information on payment methods. If you are entitled to a discount, you can make use of it in this menu.

3.1.10 Before completing your order, you must accept the provisions of these GTC and the Privacy Notice by ticking the checkbox.

3.1.11 Clicking on the “Continue” sign will take you to the checkout process. Here you can check again your details and the products and quantities you have selected, and then click on the “Checkout” button to send your order, which will result in a binding offer and a payment obligation.

3.1.12 If you have chosen to pay by credit card from the payment methods, you can enter your credit card details in the pop-up window to complete the transaction.

3.1.13 You can also correct any data entry errors before sending the order, as you can always go back to the previous stage and correct the data entered before completing the checkout process.

3.1.14 The contents of your cart will be ordered for you when the checkout process is completed, so if you interrupt the process, the contents may be deleted.

3.1.15 You will receive an email confirmation that the order has been sent, which only shows that Sunrider has received the order, but does not constitute an acceptance of the order. Once you have sent your order, you will be bound by the offer. If you do not receive confirmation of your order within 48 hours of sending it, you will be released from the binding effect of the offer or the contractual obligation.

3.1.16 The order and its confirmation will be deemed to have been received by Sunrider or you when available to Sunrider or you, respectively. Sunrider is not liable if the confirmation does not arrive in time because you entered an incorrect email address during registration, or if you cannot receive messages because your account storage space is full.

3.2 Formation of a contract

3.2.1 A contract is established between the parties when your order is confirmed by Sunrider in an order confirmation email.

3.2.2 Your order details are stored by Sunrider and, if you are a registered customer, can be accessed by clicking on the “Orders” button in your profile settings in the Webshop. The order confirmation you receive from Sunrider contains your order details and these GTC, which you can save or print.

3.2.3 Each order placed is a separate contract. Sunrider is under no obligation to bundle them, so you should be aware of your separate payment obligations.

3.2.4 Any contract between the parties under these GTC shall be deemed to be an unwritten contract entered into electronically and shall not be filed by Sunrider. If you are a registered customer, the contract remains accessible in the Webshop.

3.2.5 There may be circumstances that affect the acceptance and fulfilment of orders. If we are unable to accept your order, we will notify you by email and refund the price of the product(s) paid for. This can typically happen if the product is out of stock or because we have found an error in the price or description of the product.

3.2.6 Sunrider will issue a receipt for the purchase in accordance with applicable law, which will be sent to the customer on paper at the time of delivery.

4. Delivery and payment terms

4.1 In the case of an order to a Hungarian address, the price displayed next to our products is the purchase price, including VAT, and is expressed and payable in Hungarian forints. However, if you request delivery to a country other than Hungary (subject to clause 4.3), the purchase prices for that country are indicated in Euros next to the products, you must pay them in Euros and such purchase prices also include any applicable VAT. Delivery costs are not included in the purchase price of the products. The price is the price valid at the time of ordering. Prices displayed in the Webshop are valid until withdrawn, and promotional prices are valid according to the terms and conditions of the promotion, while stocks last and during the specified promotional period.

4.2 If you are a registered customer, the Webshop will automatically apply the price based on your Sunrider customer status (Independent Business Owner, Preferred Customer, Retail Customer price) when you place an order. If you shop as a non-registered customer, you will always be charged the Retail Customer price.

4.3 We only deliver to the following geographical areas: Hungary, Slovakia, Czech Republic, Poland, Bulgaria, Romania, Slovenia, Croatia and Cyprus. Please note that we can only deliver to an address in the country of your choice. (This means that if you select e.g. Hungary, you can only request to deliver within Hungary. However, if you select e.g. Slovakia from the menu, you can only request to deliver to an address in Slovakia). Unfortunately, we do not deliver to PO Box addresses. You can also collect your order from our office if you have chosen to collect it in person when you placed your order.

4.4 If you order more than one product at a time, Sunrider can choose to make partial deliveries. Otherwise, Sunrider will deliver all of the products ordered together as soon as all of the products are available.

4.5 The products ordered can be collected in the following ways, according to your choice:

- By courier service to the delivery address you have specified, taking into account the geographical areas set out in clause 4.3, or

- Personal collection from our office (H-1139 Budapest, Váci út 99.)

4.6 For delivery by courier service, Sunrider’s contracted partner GLS courier service will deliver the products ordered to the address you specify. The courier service delivers the ordered products on weekdays during working hours (from 8:00 to 17:00).

4.7 Products are expected to be delivered within 1 to 2 working days, or 1 to 5 working days for international deliveries. The expected delivery date is for information only and is not binding. If Sunrider is unable to meet this date, you will be notified.

4.8 Delivery charges depend on the value of the products and are shown in the table below:

  • When registering as a company, please also indicate a natural person as the recipient to ensure accurate delivery!

GLS:

  • Home delivery up to a gross order value of 69 999 HUF: 1 990 HUF gross

  • Home delivery above a gross order value of 70 000 HUF: FREE

  • If you are registering as a company, please also indicate a natural person as the recipient to ensure accurate delivery!

  • Home delivery up to 199.99 € net order value: 5.99 € + VAT

  • Home delivery over 200.00 € net order value: FREE

  • Home delivery for collective orders: 7.99 € + VAT

*Ciprus is subject to individual delivery charges. Please contact our customer service for more information. 4.9 In the case of orders with home delivery, the quality and quantity of the products will be accepted on receipt of the products from the courier or by signing the document confirming receipt. You must check the parcel at the time of delivery in the presence of the courier. If the parcel is damaged, please make sure that this is recorded as we will not be able to accept any subsequent claims. We advise you not to accept damaged parcels! Please also check the contents of the parcel on delivery and inform us immediately if you discover any defects or deficiencies when opening the parcel. In case there is a complaint, please keep the proof of receipt of the product and the supporting documents.

4.10 Until the purchase price is paid in full, the ordered goods are the property of Sunrider, and title passes to the customer upon payment of the purchase price.

4.11 In the Webshop you can pay online by credit card or by bank transfer in advance.

4.12 You can reduce the amount payable up to a maximum of 50% of the total amount by using the discount from previous purchases. In this case, you will only be required to pay the final amount less the amount of the discount.

4.13 If you choose the online credit card payment method and you wish to pay for the products electronically by credit card, you can pay for the products at the checkout process via the Checkout.com payment service. The bank will inform you of the success or failure of the payment. We accept the following types of credit cards: MasterCard, Maestro, Visa. For deliveries to Hungary, payment will be made in HUF. For deliveries abroad, payment can only be made in Euro.

4.14 If you wish to pay by bank transfer in advance, you must transfer the consideration to the following bank account, quoting the order number in the communication field:

4.15 If you have made a payment in excess of the amount of the order, you must notify our Customer Service in writing. The letter must include the amount and time of the overpayment and the transaction number. We will investigate the fact of the overpayment as soon as possible after notification and within a maximum of 14 days and, if we consider the claim to be justified, we will issue a credit for the amount overpaid. We will notify you of the outcome of the investigation in writing (using the contact details provided in the transaction).

4.16 If you have made a payment less than the amount of the order, we will notify you in writing (using the contact details provided in the transaction) of the difference, the amount claimed and the means by which the amount can be settled. If the requested amount is not paid within 8 days, we will not be able to fulfil the order and the amount already paid will be refunded within 14 days, less bank charges.

5. Warranty for material defects (for non-consumer customers)

5.1 A NON-CONSUMER customer is entitled to a warranty for material defects under the Civil Code for products delivered by Sunrider under these GTC.

5.2 In this case, the customer’s warranty for material defects shall expire one year after the date of performance.

5.3 Under their warranty claim for material defects, the customer, subject to their choice,

a) may claim repair or replacement, unless the performance of the chosen remedy for breach of warranty for material defects is impossible, or if it would result in disproportionate additional costs to Sunrider compared to satisfying another warranty claim for material defects, taking into account the value that the service would have in flawless condition, the gravity of the breach of contract and the harm to the customer’s interests caused by satisfying the right of warranty for material defects; or

b) the customer may claim a pro rata reduction of the consideration; repair the defect themselves or have it repaired by someone else at Sunrider’s expense; or cancel the contract if the obligor has not undertaken the repair or replacement, or has been unable to fulfil this obligation under the conditions set forth in the Civil Code, or if the customer’s interest in the repair or replacement no longer exists.

5.4 An insignificant defect does not constitute grounds for cancellation. The repair or replacement must be carried out within an appropriate period of time, taking into account the characteristics of the item and its intended use, and without prejudice to the obligee’s interests.

5.5 The customer may change from the chosen remedy for breach of warranty for material defects to another remedy. The customer must pay the costs incurred by Sunrider as a result of the change, unless the obligor has given cause to the change or the change was otherwise justified.

6. Guarantee, warranty for material defects and product warranty for consumers

a. A CONSUMER is a natural person who qualifies as a consumer under Act V of 2013 on the Civil Code of Hungary. Currently, a consumer is defined as a natural person acting outside his or her profession, self-employment or business.

b. c. The terms and conditions applicable to consumers in respect of guarantee, warranty for material defects and product warranty are set out in Annex 1 to these GTC, which has been drawn up on the basis of Annex 3 to Government Decree No 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses, and Government Decree No 373/2021 (VI. 30.) on the detailed rules of contracts between consumers and businesses for the sale of goods, the supply of digital content and the provision of digital services.

d. Sunrider provides consumers with the statutory guarantee for products subject to the mandatory guarantee for the statutory term.

e. If the manufacturer gives a guarantee on the durability of a certain product for a certain period of time, the consumer can claim directly from the manufacturer the repair or replacement of the defective product for the whole duration of the durability guarantee, in accordance with the rules on the exercise of rights under a warranty for material defects. The manufacturer may offer the consumer more favourable conditions in the durability guarantee declaration than those provided for in the applicable legislation.

7. Right of cancellation

7.1 If you are a CONSUMER, you have a right of cancellation/termination (hereinafter collectively: “right of cancellation”) without justification in the case of a distance contract, which the consumer may exercise in the case of a contract for the sale and purchase of a product within 14 (fourteen) days from the date of receipt of

a) the product,

b) in the case of the sale and purchase of more than one product, if each product is supplied at a different time, the last product supplied,

c) in the case of a product consisting of several lots or pieces, the last lot or piece supplied,

d) if the product is to be supplied regularly within a specified period, the first supply,

after it has been received by the consumer or a third party, other than the carrier, designated by the consumer. The consumer may also exercise the right of cancellation during the period between the conclusion of the contract and the receipt of the product.

7.2 A customer who is not considered a consumer shall not have the right to cancel the contract without justification.

7.3 The consumer can exercise this right of cancellation

a. by means of a downloadable model declaration (Annex 2 to these GTC);

b. by means of a clear declaration to this effect (by email, post, fax, etc.) No justification is required for the exercise of the right of cancellation, so the mere absence of such justification will not affect the validity of the cancellation.

7.4 You can also send us your declaration by email, clearly stating your intention to cancel/terminate the contract. If you choose to do so, we will promptly acknowledge receipt of your cancellation/termination notice by email. It is your responsibility to prove that you are entitled to exercise the right of cancellation and that you have done so within the time limit and in accordance with the conditions laid down by law.

7.5 The right of cancellation is deemed to have been exercised within the time limit if the consumer sends their declaration within 14 days or, if the consumer has not been informed of the right of cancellation, within 12 months + 14 days.

7.6 In the event of such cancellation without giving any reason, the consumer must return the product immediately, but no later than 14 days after the cancellation. In the event of cancellation, you are not entitled to use the product, you can only try it out to the extent that you would be able to do so if you had purchased it in the shop. In the event of cancellation, the customer must return the product to the Supplier in an unopened or opened but undamaged condition, complete, clean and, if possible, in the original factory packaging, together with any components of the product (e.g. labels, etc.). Please note that for certain products (e.g. food supplements, cosmetics, hygiene products, etc.), opening the packaging that directly protects the product may result in the loss of the right of cancellation. The consumer must bear the cost of returning the product.

7.7 In the event of cancellation, the consumer will only be liable for loss of value resulting from use beyond that necessary to establish the nature, characteristics and functioning of the product. We therefore ask that you do not use the product you are returning, otherwise we will have to charge you for the costs involved.

7.8 In the event of cancellation, we will refund all consideration, including transport costs (excluding any additional costs incurred as a result of the consumer choosing a mode of transport other than the cheapest standard mode offered), without delay and at the latest within 14 days of receipt of your declaration of cancellation. Refund will be made using the same payment method as the one used for the original transaction, unless the consumer explicitly agrees to a different payment method.

7.9 If Sunrider has not offered to ship the product back in the event of cancellation, Sunrider may withhold the refund until it receives the product.

7.10 The consumer has no right of cancellation in the cases provided for in Section 29(1) of the Government Decree. In particular, the right of cancellation may not be exercised (a) in the case of a non-prefabricated product manufactured in accordance with the instructions or at the express request of the consumer, or a product which is clearly personalised for the consumer; (b) in the case of a perishable product or a product which maintains its quality for a short period; (c) in the case of a product in a sealed package which, once opened, cannot be returned for health or hygiene reasons (e.g. food supplements, cosmetics, hygiene products, etc.).

7.11 If the customer returns the product to Sunrider for any other reason (replacement, etc.), the customer must return the product to Sunrider free of charge. We are unable to accept products sent by cash on delivery or postage.

8. Responsibilities and liability

8.1 Sunrider makes every effort to ensure the proper and secure operation of the Website and Webshop, however, technical errors and defects may occur. Sunrider shall not be liable for any damages arising in connection with the use of the Website or the Webshop, including, without limitation, damages resulting from malfunctions, software failures, computer malware, which, for example, prevent you from accessing the Website or placing an order there. Sunrider shall not be liable for any failure of the customer’s computer due to any hardware or software defects, or for any damages incurred by the customer due to a loss of Internet connection.

8.2 You use the Website at your own risk and on your own responsibility, and you agree that Sunrider shall not be liable for any damages of any kind arising out of your use of the Website. If you notice any anomalies while using the Webshop or the Website, please report them to Sunrider.

8.3 Sunrider is solely responsible for ensuring that the products meet the conditions set out in the product description. However, Sunrider is not responsible for ensuring that the products are fit or suitable for any purpose that you or others may claim.

8.4 Sunrider shall have the right, but not the obligation, to monitor any content that customers may make available through the use of the Website, and Sunrider shall have the right, but not the obligation, to look for indications of illegal activity with respect to any content posted. Sunrider shall not be liable for any unauthorised alteration or unauthorised placement of content on the Website or Webshop by third parties.

8.5 In the case of a direct or indirect link to a third-party website, Sunrider accepts no responsibility whatsoever for the content or operation of the linked website.

9. Complaint handling

9.1 If you have any complaints, please contact us using the contact details above.

9.2 Verbal complaints will be investigated immediately and acted upon if necessary. If you do not agree with the handling of the complaint, we will promptly make a record of the complaint and your position on it, with a copy to you. If an immediate investigation of the complaint is not possible, a record of the complaint will be made, with a copy to you.

9.3 Written complaints will be responded to in writing by Sunrider within 30 days. Sunrider will state its reasons for rejecting the complaint. A copy of the response will be kept on file for 3 years and will be provided to supervisory authorities upon request.

9.4 Please note that, in the event of a consumer dispute, the consumer may also initiate proceedings before the conciliation body attached to the county (capital city) chambers of commerce and industry of their place of residence or stay. Contact details of the Budapest Conciliation Board:

9.5 If the parties are unable to amicably resolve any dispute arising from the contract, they submit to the jurisdiction and territorial jurisdiction of the Hungarian courts.

9.6 Please note that you can also submit your complaint to the Hungarian-language online dispute resolution forum set up by the European Commission (ODR Platform), available athttps://ec.europa.eu/consumers/odr.

10. Miscellaneous provisions

10.1 These GTC shall remain in effect until revoked. All amendments to these GTC will be effective from the date of their publication on the Website and the amended version will apply to transactions entered into after its effective date.

10.2 No code of conduct shall apply to a contract concluded under these GTC.

10.3 Sunrider reserves the right to unilaterally change, modify or discontinue this Website or the Webshop at any time without prior notice.

10.4 We recommend using the Website and the Webshop with the following browsers: FireFox, Chrome, Edge.

10.5 With regard to matters not regulated by these GTC, Hungarian law shall apply, in particular the provisions of the Civil Code (Act V of 2013); Act CVII of 2001 on Certain Aspects of Electronic Commerce Services and Information Society Services; Government Decree No 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses; and Government Decree No 373/2021 (VI. 30.) on the detailed rules of contracts between consumers and businesses for the sale of goods, the supply of digital content and the provision of digital services; as well as other applicable Hungarian and European Union legislation.

10.6 We will only process your personal data as set out in our Privacy Notice.
